REELY DIGITAL LICENSE AGREEMENT

This License Agreement (“Agreement”) is made between Reely Digital (“Licensor”) and the Client (“Licensee”) upon engagement of Reely Digital’s videography services for the use of the Deliverables.

DEFINITIONS

  • Client: The person or entity engaging Reely Digital services.
  • Deliverables: The video footage and edited products provided by Reely Digital.
  • Paid Commercial Services: Videography services provided for a fee.
  • Free Services: Videography services provided at no cost.
  • Agreed Commercial Purpose: Specific use of the Deliverables for public presentation and commercial publication.
  • Agreed Free Service Purpose: Specific use of the Deliverables for non-commercial publication, including portfolio display, personal promotion, and sharing on social media platforms, as agreed upon by both parties.

PAID COMMERCIAL SERVICES

  • License Type: The default license is Non-Exclusive, allowing the Licensee to use the Deliverables for the Agreed Commercial Purpose.
  • Use Restrictions:
    • Deliverables can only be used for the Agreed Commercial Purpose, which includes public presentation and promotion.
    • No sub-licensing, distribution, or transfer to third parties without written consent.
    • No modifications or alterations without written consent.
  • Ownership: Reely Digital retains ownership and intellectual property rights unless an Outright Purchase License is acquired.

FREE SERVICES

  • License Type: Deliverables can be used for the Agreed Free Service Purpose, which includes non-commercial publication, portfolio display, and sharing on platforms like YouTube and TikTok for personal promotion. Other commercial uses require consent.
  • Use Restrictions:
    • No commercial use outside the specified platforms.
    • No sub-licensing, distribution, or transfer to third parties without written consent.
    • No modifications or alterations without written consent.
  • Ownership: Reely Digital retains ownership and intellectual property rights.

TERMINATION

Either party may terminate this Agreement by providing 30 days’ written notice. Reely Digital reserves the right to withdraw consent in cases of misuse or breach of the Agreement/Use Restrictions.

Upon termination, the Licensee is required to:

  • Cease using the Deliverables.
  • Return or destroy all copies, except for archival purposes.
  • Pay any outstanding fees within 30 days.
  • Remove existing uses of the Deliverables from all platforms within 60 days.

ACKNOWLEDGMENT

By engaging Reely Digital services, the Client acknowledges understanding and acceptance of this Agreement. For questions, contact agreements@reelydigital.com. This Agreement is binding under UK law.
